Terms of Service
Effective: September 29, 2026
1. Scope and contracting party
These General Terms of Service (hereinafter “Terms”) govern the use of the service Honeyfield Marketing MCP (hereinafter “Service”), operated by
Honeyfield GmbH
Strubergasse 26, 5020 Salzburg, Austria
company register no. FN 554194 t, Regional Court of Salzburg (Landesgericht Salzburg) · VAT ID: ATU 76962217
Email: hello@honeyfield.at
(hereinafter “Honeyfield”, “we” or “us”).
The Service is intended exclusively for businesses (Unternehmer) within the meaning of § 1 of the Austrian Commercial Code (UGB) and for legal entities under public law; it is not intended for consumers. By registering, you (hereinafter “Customer”) confirm that you are acting in the course of your commercial or independent professional activity.
These Terms apply in the version valid at the time the contract is concluded. Any deviating or supplementary terms of the Customer are expressly rejected; they only become part of the contract if we agree to them in writing.
2. Subject matter of the contract and description of services
The Service is a multi-tenant platform that enables the Customer to connect its own and shared marketing data sources with AI assistants (e.g. Claude, ChatGPT) via the Model Context Protocol (MCP). Connected sources include, among others, Google Ads, Google Analytics 4, Google Search Console, Google Business Profile, Google Tag Manager, Microsoft Clarity, DataForSEO, Meta Ads, LinkedIn Ads and content management systems (WordPress, Strapi).
In addition to reading data, the Service also enables write actions (e.g. creating or changing campaigns, budgets, keywords, review replies or website content), insofar as the respective data source and the permissions granted by the Customer allow this (see Section 7).
We continuously develop the Service and may extend, restrict or change its range of functions, individual tools or connected data sources, provided that the essential content of the service is preserved for the Customer.
3. Registration and account
Use of the Service requires an account in the portal (app.ads.honeyfield.at). The Customer is obliged to provide truthful information when registering and to keep its login credentials and any generated access tokens (MCP tokens) secret and protect them against access by third parties. The Customer is responsible for all actions carried out via its account.
The Customer may invite additional team members and define their rights (read/write, data sources, Workspaces). The Customer ensures that these persons comply with these Terms.
4. Trial period, plans and prices
New accounts start with a free trial period. After it ends, the account automatically continues on the free-of-charge Free plan (with a limited quota of calls and Workspaces), unless the Customer chooses a paid plan. The currently applicable scope of services and prices of the plans is set out on the pricing page of the Service.
Paid plans are billed partly at a flat rate and partly per Workspace (Agency plan). Unless stated otherwise, all prices are in euros and exclusive of the applicable statutory VAT.
5. Payment terms
Paid plans are processed via the payment service provider Stripe. By selecting a paid plan, the Customer authorizes us or Stripe to collect the fees due via the stored payment method. Unless otherwise agreed, subscriptions are invoiced in advance for the respective billing period and automatically renew for the same period until terminated.
If the Customer is in default of payment, we are entitled to block access in whole or in part after reasonable notice. Fees already paid for current billing periods are not refunded pro rata, unless mandatory law provides otherwise.
6. Obligations and permitted use
The Customer undertakes not to use the Service to
- violate applicable law or the rights of third parties;
- breach the terms of use, program policies or API terms of the connected platforms (in particular Google, Meta and LinkedIn);
- overload the platform, circumvent its security or undermine access controls and tenant separation;
- access or process data of other customers or third parties without authorization.
The Customer is solely responsible for ensuring that it is authorized to connect and use the respective marketing accounts and has the necessary consents of the affected account holders.
7. Connected accounts, AI processing and write actions
To provide the Service, the Customer connects its own or shared third-party accounts (e.g. via Google OAuth). The data processed in this context and the legal bases for the processing are described in our Privacy Policy; the provisions set out there, in particular regarding the Google Limited Use requirements, apply in addition.
Where Honeyfield processes personal data on behalf of the Customer in this context, the Data Processing Agreement (DPA) pursuant to Art. 28 GDPR also applies. It forms part of this contract and is accepted upon registration.
The Service passes content to AI models of third-party providers (e.g. Anthropic, OpenAI) insofar as this is necessary for the analyses or actions requested by the Customer. The Customer acknowledges that outputs of AI systems may be incorrect, incomplete or misleading, and that it must review the results on its own responsibility.
The Service only carries out write actions within the permissions that the Customer has previously granted per Workspace. Whether an individual action must be confirmed again before it is carried out is decided by the AI assistant used by the Customer; this confirmation prompt lies outside Honeyfield’s sphere of influence and can be switched off by the Customer there. The Service additionally limits write access in number and frequency, creates new campaigns and ads in a paused state, checks ad texts against the advertising platform’s policies before creating them and logs every change carried out in a traceable manner. The Customer bears responsibility for the actual execution and the consequences of approved changes (e.g. budget or campaign changes and the associated costs at the advertising platforms). Honeyfield is not liable for advertising budgets or spending that the Customer initiates via the connected platforms.
8. Availability, maintenance and third-party providers
We strive for high availability of the Service, but do not owe any specific availability unless expressly agreed separately. Maintenance work, disruptions of connected third-party services (in particular changes to or outages of the platform APIs of Google, Meta, LinkedIn and others) or events of force majeure may lead to temporary restrictions. The Service depends on the availability and the terms of these third-party providers; their changes may affect the range of functions.
9. Rights to content
All rights to the Service, the software and the skills and templates provided remain with Honeyfield or the respective rights holders. For the term of the contract, the Customer receives a non-exclusive, non-transferable right to use them as intended.
The Customer’s data and content (including the marketing data retrieved and the content created via the Service) remain with the Customer. The Customer grants us the right to process this data exclusively for the provision and improvement of the Service to the extent agreed in the contract.
10. Warranty and liability
The Service is provided with due care. We assume no warranty for the accuracy, completeness and timeliness of the data obtained from third-party platforms or for the results of AI-supported analyses.
We are liable without limitation for intent and gross negligence and for damage resulting from injury to life, body or health. For slight negligence, we are liable only in the event of a breach of an essential contractual obligation (cardinal obligation) and limited to the foreseeable damage typical for the contract. Any further liability, in particular for lost profits, indirect damage or data losses that would have been avoidable with proper data backup, is excluded. The above limitations do not apply insofar as mandatory statutory liability exists.
11. Term and termination
The contract is concluded for an indefinite period. The Customer may terminate its subscription at any time with effect from the end of the current billing period via the portal; the account is then continued on the Free plan or deleted on request. The right of either party to termination for cause remains unaffected; for us, cause exists in particular in the event of significant or repeated violations of Section 6.
12. Changes to these Terms
We may amend these Terms with effect for the future if this is necessary for a valid reason (e.g. a change in the legal situation, new features, adjustment to third-party terms). We will inform the Customer of material changes in good time, no later than 30 days before they take effect, in writing or by email. In this notice, we will separately point out to the Customer its right to object, the objection period and the consequence of its silence. If the Customer does not object by the date the change takes effect, the change is deemed accepted. If the Customer objects, either party may terminate the contract with effect from the date the change takes effect.
13. Final provisions
Austrian law applies, excluding the conflict-of-laws rules of private international law and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is, to the extent permitted by law, the court in Salzburg having subject matter jurisdiction.
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a provision that comes closest to its economic purpose.
Our Privacy Policy applies in addition. If you have any questions about these Terms, you can reach us at hello@honeyfield.at.
